What You'll Do:

This Corporate Paralegal will work closely with the legal team in managing various legal matters for the company and its worldwide subsidiaries on various issues, including corporate housekeeping and entity management, SEC filings, litigation and claims management, legal department administration and file management and support for financing and other corporate transactions.


Key responsibilities will include:


  • Assist with SEC filings, including coordination with internal and external teams on EDGAR filing processes.
  • Assist with drafting and maintaining minutes and resolutions for corporate entities, maintaining corporate records and databases and maintaining corporate organizational charts.
  • Coordinate filings of annual reports and annual filings of domestic subsidiaries in all states where qualified to do business.
  • Work with foreign offices and corporate services providers on annual reports and filings for foreign subsidiaries.
  • Assist with entity formation and dissolution.
  • Prepare litigation reports and support in-house and outside counsel on litigation and claims matters, prepare quarterly legal letter submitted to outside auditors.
  • Assist with administration of ethics and compliance programs, including support for code of conduct and training initiatives.
  • Assist in the preparation, execution and filing of various agreements and documents.
  • Track and process legal invoices.
  • Track, calendar and maintain deadline-driven documents.
  • Coordinate due diligence activities, prepare incumbency certificates and other closing documents and assist with other tasks in connection with closings of corporate and financing transactions, including filing of UCC-1 and UCC-3 forms.
  • Perform public searches, including lien searches.
  • Draft standard correspondence.
  • Assist in preparation of responses to data requests.
  • Assist in Unclaimed Property filings.
  • Arrange execution, notarization and apostille of documents.
  • Successfully complete special projects and other assignments as requested.
  • Maintain legal department files.
  • Handle legal department mail.



What We're Looking For:


  • Bachelor's degree required. Paralegal certificate preferred.
  • 2-4+ years of paralegal experience in a corporate legal department or law firm required.
  • New York State notary public or be willing to get qualified as a New York State notary public.
  • Advanced Microsoft Office skills required.
  • Strong technology skills and familiarity with legal technologies like virtual data rooms, Workiva, Docusign, e-billing and entity management applications preferred, as well as experience with document automation and workflow tools.
  • Ability to prioritize and handle numerous competing demands in a high-volume, fast-paced working environment.
  • Flexibility to work outside standard business hours as required.
  • Must be at a commutable distance (within 50 miles) to the Purchase, NY office.
