Overview

The Senior Counsel, Partnerships will be the main legal resource overseeing strategic partnership contracting. The role will also support the Director, Senior Corporate Counsel in overseeing the full life cycle of Cotiviti's healthcare and non-healthcare vendor contracts - from initial negotiation through execution, ongoing management, renewal, and termination. This role will be responsible for reviewing, drafting, and negotiating a broad range of commercial agreements, including master services agreements, license agreements, SaaS agreements, business associate agreements, non-disclosure agreements, and other related commercial agreements. The ideal candidate will have significant experience negotiating a wide range of commercial agreements - with a particular focus on strategic corporate partnerships, channel and distribution agreements, co-marketing agreements, and other alliance-driven transactions. Experience with Mergers & Acquisitions (M&A) or corporate development, including complex deal structuring, is strongly preferred. They should be comfortable managing contracts through their full lifecycle and working closely with senior internal stakeholders. A strong working knowledge of healthcare related agreements (including business associate agreements), data privacy laws (such as HIPAA, CCPA/CPRA, and GDPR), emerging technologies like artificial intelligence, and technology deployment models (on-premise/cloud/hybrid) is preferred.



Responsibilities

    Work closely with business leaders to develop and drive contracting strategies related to strategic partnerships, channel and distribution agreements, co-marketing agreements, and other alliance-driven transactions.
  • Draft, review, and negotiate strategic partnership agreements and related transaction documents, as well as a broad range of complex vendor agreements including master services agreements, software license agreements, professional services agreements, SaaS/PaaS/IaaS agreements, business associate agreements, statements of work, and related agreements
  • Play a lead role in advising internal stakeholders on contract interpretation, legal risks, and contract compliance requirements
  • Maintain contract databases and tracking systems for vendor and strategic partner relationships
  • Prepare legal summaries and risk assessments on contract terms and key provisions
  • Support contract management processes and workflow improvements
  • Coordinate with strategic vendor services, corporate alliances, business operations, compliance, privacy, and information governance teams and other business stakeholders on contract issues and requirements
  • Facilitate cross-functional meetings to resolve contract issues and support business objectives
  • Assist in training non-legal teams on contract processes and legal requirements.
  • Complete all responsibilities as outlined in the annual performance review and/or goal setting.
  • Complete all special projects and other duties as assigned.

Qualifications

  • Law school degree (JD) and active bar membership
  • 8-10 years of experience gained in-house or at large law firm
  • Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization
  • Demonstrated ability to negotiate complex agreements with a deep understanding of the legal, financial, and commercial considerations at stake
  • Prior experience in M&A, corporate development, or complex deal structuring preferred
  • Ability to establish and maintain strong relationships within the organization's legal department and across all businesses
  • Ability to work independently with little or no supervision and be available and responsive to legal and compliance team members and business units in a remote working environment.
  • The intellect and energy to excel in a complex and ever-changing environment

Cognitive/Mental Requirements

  • Analytical Thinking: Ability to interpret and apply complex laws, regulations, and contract terms related to healthcare compliance, data privacy, technology licensing, and vendor relationships. Capable of identifying legal risks in commercial agreements and emerging technology implementations.
  • Critical Judgment: Strong decision-making skills in contract negotiations, with the ability to clearly identify, prioritize, and articulate legal issues and recommended courses of action. Adept at bridging legal, business, and technical domains while evaluating contract terms, data usage rights, and regulatory compliance requirements.
  • Attention to Detail: Meticulous in drafting and reviewing strategic partnership and vendor agreements, contract templates, risk assessments, and compliance documentation. Precision in analyzing contract language and identifying potential legal exposures.
  • Communication Skills: Excellent written and verbal communication for translating complex legal concepts into practical business guidance. Capable of synthesizing information from legal, regulatory, and commercial domains into actionable recommendations for internal stakeholders.
  • Business Acumen: Sound judgment in balancing legal risk with business objectives across complex deal structures, commercial negotiations, and strategic partnership arrangements.

Physical Requirements and Working Conditions:

Base compensation ranges from $150,000 to $165,000 per year. Specific offers are determined by various factors, such as experience, education, skills, certifications, and other business needs. This role is eligible for discretionary bonus consideration
