Supporting Bracco Medical Technologies' ("BMT") cardiovascular and diagnostic imaging businesses, this role requires flexibility, adaptability, and independent work on a variety of complex matters. This role serves as a senior legal resource responsible for exercising discretion and independent judgment on matter of significance, including contract strategy, negotiation approach, marketing and promotional review, and legal/compliance risk mitigation for complex commercial activities. It is critical that this individual work collaboratively while fostering positive relationships with internal business partners as well as a variety of third-party vendors. This position requires a driven and initiative-taking individual with an ardent desire for learning and to work independently with limited supervision. The primary geography supported is the United States. The role operates with minimal supervision, directly advises cross-functional stakeholders, and is expected to independently resolve routine and moderately complex issues within established legal and compliance guidance, escalating high-risk or precedent-setting matters to counsel.
Contracting (50%)
- Serve as the lead advisor for contract inquiries within the legal department.
- Advise internal teams on appropriate agreement types for business needs.
- Provide continuous contracting support from initiation through closeout.
- Independently draft, revise, and finalize a broad range of complex agreements including commercial, sales, supply chain, distribution, GPO, services, confidentiality, and other strategic business arrangements.
- Perform complex contract review and drafting, including formulation of negotiation strategy.
- Prepare contract briefs and revisions summarizing contractual requirements.
- Meet with and advise stakeholders on legal and business matters impacting contract analysis and revisions.
- Exercise independent judgment to accurately identify, assess, and mitigate legal and commercial risk; independently resolve routine and moderately complex matters within established risk tolerances; and escalate matters with heightened risk, material deviation, or precedent-setting implications.
- Where requested, lead negotiation strategy and provide risk-based recommendations regarding acceptable legal positions.
- Interpret and apply legal and company policy requirements to ambiguous fact patterns and evolving business models.
Advertising, Promotion, & Marketing Review (10%)
- As requested, review and advise on marketing, promotional, advertising, training, digital, conference and sales materials relating to medical devices, capital equipment, and associated disposables.
- Evaluate product and comparative claims, clinical support, testimonials, and substantiation to help ensure materials are truthful, not misleading, and aligned with approved labeling, intended use, and applicable company standards.
- Participate in cross-functional review and approval workflows for external-facing materials and recommend escalation of high-risk claims or novel promotional concepts to counsel.
- Develop and maintain review guidance, standard comments, and process documentation for marketing and promotional review.
Legal Support & Cross Functional Support (10%)
- Proactively review and respond to internal business partner questions and concerns.
- Gather additional information as needed to address outstanding legal issues.
- Respond to third-party customer inquiries and draft legal correspondence.
- Serve as a liaison between the legal department and internal teams such as marketing, sales, clinical, and regulatory affairs.
- Provide guidance on legal processes and documentation requirements to ensure compliance and mitigate risk.
- Collaborate with other groups on multi-disciplinary projects, including Sales, Service, Supply, Operations, Regulatory, and Clinical teams.
- Serve as a senior point of contact for cross-functional stakeholders on contract process, issue-spotting, escalation thresholds, and documentation strategy.
Training & Development (10%)
- Develop and deliver training sessions for business partners on contract processes, legal compliance, and best practices.
- Mentor and provide guidance to junior paralegals, supporting their professional development and ensuring consistency in legal work product.
- Create and maintain training materials and resources to support ongoing education and process improvement within the legal department.
- Develop targeted training for Marketing, Sales, and other business teams on contracting, claims review, documentation standards, and escalation pathways.
Contract Management & Process Improvement (5%)
- Oversee contract governance, template maintenance, and lifecycle controls to promote consistency, compliance and operational efficiency.
- Place contract templates on a review schedule and ensure all updates are completed to meet standards and current law.
- Identify opportunities to improve business processes and propose plans for implementation.
- Review, update, and maintain Standard Operating Procedures (SOPs), policies, and guidelines to ensure legal accuracy and alignment with current operational and global Bracco practices and policies.
- Serve as a process owner for designated legal workflows and recommend control improvements, standardization, and automation opportunities.
Corporate Filings & Governance (5%)
- Annually review registered agent services and invoices for accuracy.
- Coordinate and oversee required corporate filings, records, and licensing-related actions; leverage administrative support where appropriate; and ensure timely completion and accuracy.
- Assist with entity management, including maintaining corporate records, drafting board resolutions, and supporting subsidiary governance.
Legal Research & Analysis (5%)
- Conduct legal and regulatory research on issues relevant to the medical device industry, including FDA regulations, advertising and promotion, and healthcare compliance.
- Summarize findings and provide recommendations to attorneys and business partners.
- Research and analyze laws, guidance, and internal policies bearing on marketing review, contract strategy, product support, and commercial execution.
Additional Legal Projects (5%)
- Assist the General Counsel or Senior Corporate Counsel with other projects as assigned.
- Take ownership of special projects involving legal operations, compliance, promotional review enhancement, and other strategic initiatives.
Qualifications (Knowledge, Skills & Abilities): Minimum
- 7 - 10+ years' experience as contract analyst review/analysis in a law firm, medical device, or corporate environment.
- 5 -7+ years' senior-level experience with independently drafting, negotiating, redlining, reviewing, analyzing, and advising on complex commercial agreements and related legal issues
- Prior experience and/or familiarity with medical device and/or healthcare industries.
- Ability to read, comprehend, and apply laws, rules, regulations, and procedures relevant to legal documents, including transactional concepts (limitations of liability, warranties, remedies).
- Strong problem-solving skills; able to advise on risk and potential issues in complex or ambiguous situations.
- Experience managing corporate/state filings and entity governance.
- Familiarity with HIPAA, Anti-Kickback Statute, Sunshine Act, and other healthcare compliance regulations.
- Excellent writing, proofreading, and critical thinking skills.
- Effective oral and written communication skills for all organizational levels.
- Ability to work independently, manage multiple projects, take initiative, and prioritize to meet deadlines.
- Discretion and confidentiality in handling sensitive and proprietary information.
- Advanced proficiency with Microsoft Office Suite and contract management systems.
- Experience reviewing and advising on advertising, promotion, and marketing materials in a regulated industry.
- Working knowledge of FDA and FTC principles applicable to claims review, promotional substantiation, and the distinction between labeling and promotion.
- Demonstrated ability to exercise discretion and independent judgment on matters of significance and to make risk-based recommendations with limited supervision.
Preferred:
- Bachelor's degree or relevant post-secondary education.
- Experience with supply chain agreements and operations.
- Ability to motivate and work with others to achieve results.
- Experience developing and delivering training to business partners or junior legal staff.
- Experience participating in promotional review committee processes or equivalent cross-functional approval workflows.
- Experience supporting medical device, capital equipment, and disposable product claims review.
- Experience managing corporate/state filings and entity governance.
Other:
- Mental demands - work is highly analytical, deadline sensitive, and often involves concurrent priorities, ambiguous facts, and significant legal/compliance considerations. Estimated Starting Salary Range: $119,000 - 129,000 *Estimated Starting Salary Range is reflective of the range Bracco Medical Technologies reasonably expects to pay for the position. The range provided is based on salary and market data specific to the position. Total Rewards:
